Act 1  总则

Article one The name of the Foundation is Anhui Vocational and Technical College Education Development Foundation。

Article 2  The Foundation is a charitable organization engaged in public welfare and non-profit activities, the main scope of activities in Anhui Province。

Article 3  The purpose of the Foundation: to practice the core values of socialism, We should promote patriotism, abide by social ethics, and consciously strengthen integrity and self-discipline。Strengthen the contact between the college and the majority of alumni and all walks of life, raise and manage all kinds of donation funds, gather the strength of all parties to support and promote the development of Anhui Vocational and Technical College education 。

Article 4  The business scope of the Foundation's public welfare activities

（一）Accept donations from all walks of life;

（二）Management and operation fund；

（三）Set up public welfare fund projects；

（四）To carry out special activities entrusted by the government, enterprises or other organizations。

Article 5  In carrying out charitable activities, the Foundation shall abide by the provisions of the Charity Law and other relevant laws and regulations, follow the principles of legality, voluntariness, integrity and non-profit making, and shall not violate social morality, endanger national security, harm social public interests and the legitimate rights and interests of others。

Article 6  To carry out public fundraising, the Foundation shall obtain the qualification for public fundraising according to law and abide by the relevant provisions of the Charity Law and the Administrative Measures for Public Fundraising of Charitable Organizations。

Article ten  The Foundation conducts charitable trust business in accordance with the relevant provisions of the Charity Law and the Trust Law of the People's Republic of China。

Act 2  党 建

Article 11 Resolutely implement the Party's line, principles, and policies, establish Party organizations in accordance with the Constitution of the Communist Party of China and relevant provisions, or accept Party building work instructors and liaison officers dispatched by higher-level party organizations, and actively cooperate with the foundation's Party organizations in carrying out Party work。

Article 12  The Party organization of the Foundation is the fighting fortress of the foundation's organization and activities, and plays a central role in politics。It is necessary to work closely around the basic tasks entrusted to grass-roots Party organizations by the Party Constitution, unite the masses, ensure the correct political direction of the foundation, and promote the healthy and orderly development of the foundation。Foundations shall establish and implement a system for Party organizations to participate in decision-making on major issues of foundations。

Article 13  Support and cooperate with Party organizations in strictly implementing and maintaining Party discipline, standardizing political life within the Party, and giving full play to the leading role of Party organizations in the foundation's integrity and self-discipline and anti-corruption construction。Members of a foundation shall consciously accept Party discipline and be subject to evaluation by the Party organization at a higher level。

Article 14 If the Foundation has the conditions to form a Party organization, the Party organization shall be established at the same time (when the Foundation is established) in accordance with the principle of building as much as possible;If the conditions for its formation are not met for the time being, the Party's work may be carried out through the establishment of a trade union, the organization of the Communist Youth League, etc.When conditions are ripe, a grass-roots party organization should be established in a timely manner。

Article 16  Actively provide necessary venues, funds and personnel support for Party organizations to carry out activities within the Foundation。In accordance with the "six" standards of having places, facilities, signs, party flags, books and newspapers, and systems, we shall strengthen the standardized construction of Party organization activity venues of foundations。

Act 3  Organization, responsible person

Article 18 Qualifications of directors:

(1) Having full capacity for civil conduct;

(2) diligence, honesty and trustworthiness;

（三）Be able to do their duty to ensure that the use of donated assets is in line with the wishes of the donors and the public welfare purposes of the Foundation, and ensure the safety and preservation and appreciation of the foundation's assets;

(4) Be enthusiastic about the public welfare undertakings undertaken by the Foundation;

(5) Honesty and fairness。

Article 19  Appointment and removal of directors:

(1) The first term of directors shall be nominated by the competent business unit, major donors and promoters respectively through consultation;

(2) When the board of Directors is reelected, the competent business unit, the board of directors, and major donors shall jointly negotiate to select candidates and organize a leading group for the change of leadership, and organize all candidates to jointly elect a new board of directors;

(3) The addition or removal of a director shall be approved by the Board of Directors and reported to the competent business unit for examination and approval;

(4) The total number of foundation directors with close relatives shall not exceed one third of the total number of foundation directors;

(5) The results of the election and removal of the directors shall be reported to the registration administration department for the record。

Article 20  Rights and duties of the Director:

(1) The right to vote, to stand for election and to vote;

(2) the right to criticize, make suggestions, and supervise;

(3) To participate in the management of internal affairs of the Foundation;

(4) Actively participate in and support various public welfare activities of the Foundation;

(5) abide by the constitution of the Foundation and safeguard the legitimate rights and interests of the Foundation;

(6) To implement the purposes of the Foundation, carry out the resolutions of the Foundation and complete the tasks assigned by the Foundation。

Article 21  The decision-making body of the Foundation is the Board of Directors。The Council shall exercise the following functions and powers:

(1) To formulate and amend the articles of association;

(2) To elect and remove the chairman, vice-chairmen and Secretary-General;

(3) to decide on plans for major business activities, including plans for raising, managing and using funds;

(4) Examination and approval of annual budgets for revenue and expenditure and final accounts;

(5) to formulate internal management systems;

(6) To decide on the establishment of offices, branches and representative offices;

(vii) To decide on the appointment and removal of Under-Secretaries-General and principal heads of agencies nominated by the Secretary-General;

(8) To hear and examine the work report of the Secretary-General and to examine the work of the Secretary-General;

(9) Deciding on the division, merger or termination of the Foundation;

(10) To decide on other major matters。

Article 22  The Board meets annually2This meeting。The meeting of the Council shall be convened and presided over by the Chairman。

One third of the council members proposed that a board meeting be called。If the Chairman is unable or does not convene a meeting, the proposed directors may elect a convenor。

The chairman or convenor of the board meeting must be held in advance5Notify all directors and supervisors within working days。

Article 23  A meeting of the Board of Directors shall be convened only when more than two-thirds of the directors are present;A resolution of the Council shall be valid only if adopted by a majority of the members present。

Resolutions on the following important matters shall be valid only if they are passed by a vote of more than two-thirds of the directors present:

(1) Amendment of the articles of association;

(2) To elect or remove the chairman, vice-chairmen and Secretary-General;

(3) Major fundraising and investment activities as stipulated in the articles of association;

(4) division or merger of foundations;

（五）Other matters having a significant impact on the Foundation。

Major investment plans shall be approved by more than two-thirds of the members of the decision-making body。

Article 24  Minutes of council meetings shall be made。Where a resolution is reached, it shall be reviewed and signed by the directors present。If a resolution of the Board of Directors violates laws, regulations or articles of association and causes losses to the Foundation, the directors participating in the resolution shall bear the responsibility。However, if it is proved that he objected at the time of the vote and it is recorded in the minutes of the meeting, the director may be exempted from liability。

Article 25  The Foundation shall have a supervisor事 1 名。The term of office of a supervisor is the same as that of a director and may be reappointed upon expiration。

Article 26  Creation and removal of supervisors:

(1) The supervisors shall be selected by major donors;

(2) Selected by the competent business unit according to the needs of the work;

(3) selected by the registration administration authority according to the needs of the work;

(4) The change of supervisors shall follow the procedure for its creation。

Directors, close relatives of directors and financial and accounting personnel of foundations shall not serve as supervisors。

Article 27  Rights and obligations of supervisors:

The supervisors shall inspect the financial and accounting information of the Foundation in accordance with the procedures stipulated in the articles of Association, and supervise the Board's compliance with the laws and articles of association。

Supervisors who attend meetings of the Board of Directors as non-voting observers have the right to put forward questions and suggestions to the Board of Directors, and shall report the situation to the registration administration authority, the competent business unit and the competent tax and accounting department。

Supervisors shall abide by relevant laws and regulations and the constitution of the Foundation and faithfully perform their duties。

Article 28  The number of directors receiving remuneration from the Foundation shall not exceed one third of the total number of directors。Supervisors and directors who do not work full-time in a foundation shall not receive remuneration from the foundation。

The responsible persons and staff of the Foundation shall not take part-time jobs or receive remuneration in the enterprises invested by the Foundation。

Article 29  When a director of the Foundation has personal interests related to the interests of the Foundation, he shall not participate in the decision-making of relevant matters;Directors, supervisors and their close relatives shall not engage in any transaction with the foundation。

Article 30  The board of Directors shall have a chairman, vice chairman and secretary general, who shall be elected from among the directors。

Article 31  The Chairman, Vice Chairman and Secretary General of the Foundation must meet the following conditions:

(1) Having significant influence in the business field of the Foundation;

(2) The maximum age of the Chairman, vice chairman and Secretary general shall not exceed70One year old, the secretary general is full-time;

(3) Good health and able to work normally。

Article 32  Under any of the following circumstances, a person may not serve as the chairman, vice chairman or Secretary General of the Foundation:

(1) Those who are currently serving as state workers;

(2) when he is sentenced to public surveillance, criminal detention or fixed-term imprisonment for a crime, and the term has not expired since the date of completion of the term5年的；

(3) Being sentenced to deprivation of political rights for a crime, or having been sentenced to deprivation of political rights;

(4) Has served as the chairman, vice chairman or secretary general of a foundation whose registration has been revoked due to violations of the law, and is personally responsible for the illegal acts of the foundation, since the date of the foundation's cancellation5年的。

(5) having no or limited capacity for civil conduct;

(6) serving as the person in charge of an organization whose registration certificate has been revoked or banned, and it has not been more than five years since the date on which the registration certificate of the organization has been revoked or banned;

(7) Other circumstances provided for by laws and administrative regulations。

Article 33  The Chairman, Vice Chairman and Secretary General of the Foundation shall serve for each term5Not more than two consecutive terms。If it is necessary to be re-elected beyond the term due to special circumstances, it shall be voted through the special procedure of the Council, submitted to the competent business unit for examination and approval and approved by the registration administration authority before it can take office。Neither the chairman nor the Secretary-General shall serve concurrently。

Article 34  The Chairman of the Foundation is the legal representative of the Foundation。The legal representative of the Foundation is not concurrently the legal representative of any other organization。

The Foundation法定代表人应当由中国内地居民担任。

During the term of office of the legal representative of the Foundation, if the Foundation violates the Charity Law, the Foundation Management Regulations and the Articles of Association, the legal representative shall bear the relevant responsibilities。If the legal representative's dereliction of duty leads to the Foundation's illegal acts or the Foundation's property losses, the legal representative shall bear personal responsibility。

Article 35  The Chairperson of the Foundation shall exercise the following functions and powers:

(1) To convene and preside over meetings of the Council;

(2) To check the implementation of the resolutions of the Council;

(3) Sign important documents on behalf of the Foundation;

（四）To decide on the hiring or dismissal of full-time staff of each agency；

(e) to propose the appointment or dismissal of the principal heads of the institutions, which shall be decided by the Board of Directors;

（六）Other functions and powers conferred by the articles of association and the Council。

The Vice Chairman and Secretary General of the Foundation work under the leadership of the Chairman, and the Secretary General exercises the following functions and powers:

(1) to preside over the daily work and organize the implementation of council resolutions;

(2) Organizing and implementing the annual public welfare activity plan of the Foundation;

(3) To draw up plans for the raising, management and use of funds;

(4) To formulate internal management rules and regulations of the foundation and submit them to the Board of Directors for approval;

(5) coordinate the work of various agencies;

(6) The appointment or dismissal of the Under-Secretary-General and the Treasurer shall be decided by the Board of Governors。

Act Four  Management and use of property

Article 36  The Foundation's charitable assets are derived from:

(1) The founding property donated or financed by the sponsors;

(2) Voluntary donations by natural persons, legal persons or other organizations;

(3) investment income;

(4) Other lawful income, etc。

Article 37  In carrying out fundraising and accepting donations, the Foundation shall abide by laws and regulations, conform to the purposes stipulated in the Constitution and the business scope of charitable activities。

Article 38 In accepting donations, the Foundation shall issue donation bills to the donors, which are uniformly supervised (printed) by the financial department。The donation bill shall indicate the donor, the type and quantity of the donated property, the name of the Foundation and the name of the manager, and the date of the bill。If donors remain anonymous or give up accepting donation bills, the Foundation shall keep relevant records。

If a donor requests a written donation agreement, the Foundation shall sign a written donation agreement with the donor。The written donation agreement includes the name of the donor and the foundation, the type, quantity, quality, use and delivery time of the donated assets。

When the donor and the Foundation agree on the purpose and benefit of the donated property, the donor's interested persons shall not be designated as the beneficiaries。

Article 39 The Foundation shall conduct targeted fundraising within the scope of specific targets such as the sponsors and members of the Board of Directors, and shall explain to the targets the purpose of fundraising and the use of the funds and objects raised。

Article 40  The property and other income of the Foundation shall be protected by law and shall not be appropriated, privately divided or misappropriated by any unit or individual。

(1) The contributors to the Foundation do not retain or enjoy any property rights over the property invested in the Foundation。

(2) Except for reasonable expenditures related to the Foundation, all the income obtained by the Foundation shall be used for charitable undertakings registered and approved or specified in the articles of association。

(3) The property of the Foundation and its fruits shall not be used for distribution, but shall not include reasonable wages and salaries。

(4) The Foundation shall account for the taxable income obtained and its related costs, expenses and losses separately from the tax-free income and its related costs, expenses and losses。

Article 41  The Foundation's assets are mainly used for:

（一）Funds used for various public welfare grants;

（二）Necessary expenses for maintaining the normal operation of the Foundation and corresponding fundraising funds;

（三）Other funds in accordance with the constitution of the Foundation。

Article 42  Major fundraising and investment activities of the Foundation refer to:

（一）The amount of donations accepted is converted into RMB 50万元(含)The above donation activities;

Donation activities with conditions;

（二）The amount of individual funding is50Funding projects above RMB 10,000 yuan (including);

（三）In order to maintain and increase the value of foundation funds, it is carried out in the field of finance50Any investment of more than RMB 10,000。

Article 43  The Foundation shall maintain and increase its value in accordance with the principles of legality, safety and effectiveness。

Article 44  The proportion of the Foundation's annual expenditure on charitable undertakings and annual management expenses stipulated in the Articles of Association shall be carried out in accordance with the relevant standards。

The FoundationThe average salary level of the staff shall not exceed twice the per capita salary level of the tax registration place of the previous year, and the welfare of the staff shall be implemented in accordance with the relevant provisions of the State。

Article 45  In carrying out charitable funding projects, the Foundation shall disclose to the public the types of charitable funding projects it carries out and the application and evaluation procedures。

Article 46  The Foundation shall reasonably design charitable projects in accordance with the purpose of the Foundation and the relevant provisions of the Constitution, optimize the implementation process, reduce operating costs, and improve the efficiency of the use of charitable property。

(1) The Foundation shall establish and improve the decision-making, implementation and supervision mechanism for charitable projects, establish scientific, standardized and effective requirements for the initiation, review, implementation, control, evaluation and feedback of charitable projects, and set up a project management organization with personnel to perform project management duties。

(2) The Foundation shall determine charitable beneficiaries in accordance with the principles of openness, fairness and justice。

(3) No beneficiary shall be an interested person of the management personnel of the Foundation。

Article 47  Major charitable projects carried out by the Foundation shall be approved by the Board of Directors, and the number of directors present shall not be less than two-thirds。

The Foundation's major charitable projects include:

(1) Annual charity project plan;

(2) exceeding50A charity project worth 10,000 yuan;

Before carrying out major charitable projects, the Foundation shall promptly report to the competent business unit。

Project funds shall be used strictly in accordance with the provisions of the national financial and accounting system and in accordance with the donation agreement。

The management and use of charity project funds shall consciously accept the supervision of financial departments, audit institutions, competent industry departments, registration and management authorities and the public, conscientiously fulfill the obligation of information disclosure, and accept social supervision。

Article 48  The Foundation shall strengthen the management of project archives, preserve the complete information of charity projects, and do a good job in the filing of charity projects。

Article 49  Donors have the right to inquire and copy the relevant information on the management and use of their donated assets, and the Foundation shall promptly and proactively report the relevant information to donors。

If the Foundation violates the purposes agreed in the donation agreement and abuses the donated assets, the donor has the right to request correction;If the donor refuses to make corrections, he or she may file a complaint or report to the civil affairs department or bring a lawsuit to the people's court。

Article 50  The Foundation may sign an agreement with the recipient to specify the funding method, the amount of funding, and the purpose and use of the funds。

The Foundation has the right to supervise the use of the funds。If the recipient fails to use the grant according to the agreement or violates the agreement in other circumstances, the Foundation has the right to terminate the grant agreement。

Article 51  The Foundation shall implement the unified accounting system of the State, conduct accounting in accordance with the law, establish and improve the internal accounting supervision system, and ensure that the accounting information is legal, true, accurate and complete。

The Foundation is subject to tax supervision and accounting supervision by the tax and accounting authorities in accordance with law。

Article 52  The Foundation is equipped with full-time staff and accountants with professional qualifications commensurate with the activities of the Foundation。An accountant may not double as a cashier。When an accountant transfers his work or leaves his post, he must clear the handover formalities with the receiver。

(1) Business reports and final accounts of revenue and expenditure of funds for the previous year;

(2) The business plan and the budget of revenue and expenditure of the current year;

Article 54  Financial audit shall be conducted for the change of the term of office, the change of legal representative and the liquidation of the Foundation。

Chapter Five  Major event reporting and information disclosure

Article 55  The Foundation shall fulfill its reporting obligations in accordance with the Charity Law and the relevant requirements and guidelines of the registration administration authority for reporting major events。

Article 56  The Foundation shall fulfill the obligation of information disclosure in accordance with the Charity Law and the relevant requirements of the registration and management authority for information disclosure。

Act 6  Termination and disposal of residual property

Article 57  The Foundation shall be terminated under any of the following circumstances:

(1) Circumstances of termination as provided for in the articles of association;

(2) It needs to be terminated due to division or merger;

(3) failing to engage in charitable activities for two consecutive years;

(4) The registration has been revoked or the registration certificate revoked according to law;

(5) Other circumstances that shall be terminated as provided for by laws and administrative regulations。

The board of Directors shall, within 30 days from the date of the termination of the situation, set up a liquidation group to carry out the liquidation and announce it to the public。Where a liquidation group is not established or the liquidation group fails to perform its duties, the registration administration authority may apply to the people's court to appoint relevant personnel to form a liquidation group to carry out liquidation。

Article 58  The termination of the Foundation shall be effected by a vote of the Board of Directors15Within days, it shall be submitted to the competent business unit for examination and approval15Apply to the registration authority for cancellation of registration within days。

Article 59  Before the Foundation handles the cancellation of registration, it shall set up a liquidation organization under the guidance of the competent business unit to complete the liquidation work。

The remaining assets of the Foundation after liquidation shall, under the supervision of the registration and management authority, be transferred to charitable organizations with the same or similar purposes in accordance with the articles of association and used for charitable undertakings。

Where there is no provision in the articles of association, the registration administration organ shall organize donations to charitable organizations with the same or similar purposes as the Foundation, and announce them to the public。

The Foundation shall begin on the date of liquidation15Apply to the registration administration authority for cancellation of registration within days;No activities other than liquidation will be carried out during the liquidation period。

Article 60  The Foundation shall be terminated on the date when the registration authority issues the certificate of cancellation of registration。

Act 7  Amendment of articles of association

Article 61  Amendments to the Articles of Association shall be approved by the Board of Directors15Within days, it shall be submitted to the competent business unit for examination and approval, and after the competent business unit for examination and approval, it shall be submitted to the registration administration authority for approval。

Article 63  The power of interpretation of these Articles shall be vested in the Council。

Article 64  After the approval of the registration authority, the articles of association shall come into force as of the date of adoption by the Board of Directors。

Article 65  If the Articles of Association are inconsistent with the national laws, regulations, rules and policies, the provisions of the national laws, regulations, rules and policies shall prevail。
